01 Acceptance of Terms
By accessing or using the SocialsBridge API gateway service, website, documentation, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
Key point
If you do not agree to these Terms, do not access or use the Service. Continued use of the Service after any modifications to these Terms constitutes acceptance of the modified Terms.
02 Definitions
- "Client" or "You" — The individual or entity accessing the Service
- "End-User" — Users of your platform who connect their social media accounts through our OAuth flows
- "Platform(s)" — Third-party social media networks accessible through the Service (e.g., Instagram, TikTok, LinkedIn)
- "API" — The application programming interface provided by SocialsBridge
- "Content" — Any text, images, videos, or media submitted through the API for publishing
- "API Key" — Unique authentication credentials issued to you for accessing the Service
03 The Service
SocialsBridge provides an API gateway that enables SaaS platforms to publish content to social media networks on behalf of their users. The Service includes:
- REST API endpoints for content publishing, scheduling, and status tracking
- Managed OAuth flows for end-user social media account connections
- Webhook delivery for real-time publish status notifications
- Developer documentation, SDKs, and integration support
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
04 Your Account
To use the Service, you must create an account and obtain API credentials. You agree to:
- Provide accurate and complete registration information
- Maintain the security and confidentiality of your API keys and credentials
- Immediately notify us of any unauthorized use of your account
- Accept responsibility for all activity that occurs under your account
Security Notice
You are solely responsible for safeguarding your API keys. Do not share them in public repositories, client-side code, or unsecured environments. SocialsBridge is not liable for unauthorized access resulting from your failure to protect your credentials.
05 API Usage & Rate Limits
Your use of the API is subject to the following conditions:
Rate Limits
API calls are subject to rate limits based on your subscription plan. Exceeding rate limits may result in temporary throttling or suspension. Current rate limits are documented in the API documentation and may be updated from time to time.
Fair Usage
You agree to use the API in a manner consistent with its intended purpose. This includes:
- Implementing reasonable caching strategies to minimize redundant API calls
- Respecting retry-after headers and exponential backoff patterns
- Not attempting to circumvent rate limits through multiple accounts or key rotation
- Monitoring your usage and adjusting your implementation to stay within plan limits
Platform Compliance
You acknowledge that social media platforms impose their own rate limits and content policies. SocialsBridge will make reasonable efforts to manage platform-level rate limits, but cannot guarantee delivery if platform limits are exceeded.
06 Content & Publishing Responsibilities
You are solely responsible for all Content published through the Service. You represent and warrant that:
- You have all necessary rights, licenses, and permissions to publish the Content
- The Content does not infringe any third-party intellectual property rights
- The Content complies with all applicable laws and regulations
- The Content complies with each target Platform's terms of service and community guidelines
- You have obtained proper consent from End-Users to publish Content on their behalf
Critical
SocialsBridge is a pass-through infrastructure service. We do not review, moderate, or approve Content before publishing. You assume full responsibility for ensuring Content compliance with all applicable Platform rules and laws.
07 Prohibited Uses
You may not use the Service to:
- Publish spam, unsolicited messages, or deceptive content
- Distribute malware, phishing links, or malicious content
- Violate any applicable law, regulation, or third-party right
- Engage in automated activity that violates Platform terms of service
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse-engineer, decompile, or disassemble any part of the Service
- Resell, sublicense, or redistribute API access without prior written consent
- Use the Service to build a competing product or service
- Scrape, crawl, or harvest data from the Service beyond normal API usage
- Publish content that promotes violence, hate speech, or illegal activities
We reserve the right to suspend or terminate accounts that engage in prohibited activities without prior notice.
08 Service Level & Availability
We aim to maintain 99.9% API uptime, measured on a monthly basis, excluding scheduled maintenance windows. Specific SLA terms, including remedies for downtime, are defined in your subscription agreement or plan documentation.
SocialsBridge is not responsible for downtime or failures caused by:
- Third-party social media platform outages or API changes
- Force majeure events (natural disasters, war, pandemics)
- Scheduled maintenance (communicated at least 48 hours in advance)
- Actions or inactions of the Client, including exceeding rate limits
- Internet connectivity issues outside our infrastructure
09 Payment & Billing
Paid features of the Service are billed according to the pricing plan selected during registration. You agree to:
- Provide accurate and up-to-date billing information
- Pay all fees associated with your selected plan in a timely manner
- Accept that fees are non-refundable unless otherwise stated in your plan terms
We reserve the right to modify pricing with 30 days' prior written notice. Continued use after a price change constitutes acceptance. Failure to pay may result in service suspension or termination.
10 Intellectual Property
All rights, title, and interest in and to the Service — including the API, documentation, SDKs, trademarks, and underlying technology — remain the exclusive property of SocialsBridge.
You retain all rights to Content submitted through the Service. By using the Service, you grant SocialsBridge a limited, non-exclusive license to process and transmit your Content solely for the purpose of providing the Service.
Nothing in these Terms grants you any right to use SocialsBridge trademarks, logos, or branding without prior written consent.
11 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED
- SOCIALSBRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL CONTENT WILL BE SUCCESSFULLY PUBLISHED
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
12 Indemnification
You agree to indemnify, defend, and hold harmless SocialsBridge, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your use of the Service or violation of these Terms
- Content published through your account via the Service
- Your End-Users' activities facilitated through the Service
- Your violation of any applicable law or third-party right
- Any dispute between you and a social media platform related to Content published through the Service
13 Termination
Either party may terminate this agreement:
- By you: At any time by discontinuing use of the Service and deleting your account
- By us: For any reason with 30 days' written notice, or immediately if you violate these Terms
Upon termination:
- Your API keys will be revoked and access to the Service will cease
- We will delete your data in accordance with our Privacy Policy retention schedule
- Outstanding payment obligations survive termination
- Sections on Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination
14 Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the developer dashboard at least 30 days before taking effect. Non-material changes (clarifications, formatting) may take effect immediately upon posting.
Your continued use of the Service after the effective date of modified Terms constitutes acceptance. If you disagree with any changes, your sole remedy is to discontinue use of the Service.
15 Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration or the competent courts in the jurisdiction of our registered office.
